Terms & Conditions

These Terms and Conditions ("Terms") apply to all services provided by Studio Forty Seven Limited, an interior design business registered in 47 North Street, Maldon, CM9 5HJ hereafter referred to as "the Designer."

1. DEFINITIONS

  • "Client" refers to the person or entity engaging the Designer's services.

  • "Project" refers to the interior design services being provided by the Designer as outlined in the contract or proposal.

  • "Services" refers to all services provided by the Designer to the Client, including but not limited to design consultation, sourcing, and project management.

2. ACCEPTANCE OF TERMS By commissioning the Designer for the Project, the Client agrees to these Terms and Conditions. Any variation to these Terms must be agreed upon in writing.

3. SERVICES PROVIDED

  • The Designer shall provide interior design services as outlined in the written proposal or contract.

  • The scope of services may include consultations, space planning, design concepts, sourcing of materials and furnishings, project management, and site visits, as agreed between the Client and the Designer.

4. FEES AND PAYMENT

  • The Client agrees to pay the Designer the fees set out in the contract or proposal. These fees may include design fees, consultancy fees, and any additional charges incurred.

  • A deposit of [TBC]% is required to confirm the Project, with remaining fees payable as per the agreed payment schedule.

  • All invoices must be paid within 7 days of the invoice date. Late payments may incur interest at a rate of 8% per month.

  • Any additional services or changes to the Project requested by the Client will be subject to additional charges.

5. CANCELLATION AND TERMINATION

  • Either party may terminate this agreement by giving 14 days' written notice.

  • In the event of termination, the Client is liable for payment for all work completed up to the termination date, as well as any costs incurred for goods or services already ordered or received.

  • If the Client cancels the Project after the order of bespoke or custom-made items, the Client will be responsible for the full cost of those items.

6. PROJECT TIMELINE

  • The Designer will make every effort to meet agreed deadlines, but cannot be held liable for delays caused by third parties (e.g., suppliers, contractors, etc.).

  • The Client acknowledges that timelines are estimates and subject to change based on availability, shipping, and unforeseen circumstances.

7. PURCHASING AND PROCUREMENT

  • The Designer may purchase materials, furnishings, and other items on behalf of the Client. These purchases will be invoiced to the Client at cost plus a procurement fee of 10%.

  • All purchased items remain the property of the Designer until fully paid for by the Client.

8. LIABILITY

  • The Designer will take reasonable care when providing services and handling goods, but shall not be held liable for damages, delays, or issues caused by third-party contractors, suppliers, or shipping agents.

  • The Client must inform the Designer of any restrictions, planning permissions, or relevant laws before work begins. The Designer will not be liable for issues arising from failure to inform.

9. DESIGN OWNERSHIP

  • The Designer retains ownership of all design concepts, drawings, plans, and materials until full payment is received.

  • The Client may not use or share the designs for any purpose other than the agreed-upon Project.

10. CONFIDENTIALITY Both the Designer and the Client agree to keep confidential any sensitive information shared during the course of the Project, except where required by law.

11. INSURANCE The Client must ensure that they have appropriate insurance in place for the property during the design and installation process. The Designer is not responsible for any damage to the property caused by third parties.

12. DISPUTE RESOLUTION Any disputes arising under this agreement will be subject to negotiation between the parties in good faith. If the dispute cannot be resolved through negotiation, it may be referred to mediation or an appropriate court.

13. GOVERNING LAW These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

14. ENTIRE AGREEMENT This agreement constitutes the entire understanding between the Client and the Designer, and supersedes all prior discussions or agreements.

15. CHANGES TO TERMS The Designer reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any changes.
